1. Introduction and Acceptance


1.1 These Terms and Conditions ("Terms") govern your access to and use of the website www.londonvirtualaddress.co.uk (the "Website") and all services offered by London Virtual Address LTD, a company registered in England and Wales under company number 14630043.

1.2 By accessing the Website, submitting an account application, or purchasing any of our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not proceed with your application or purchase.

1.3 These Terms apply in addition to our Privacy Policy, Acceptable Use Policy, and any service-specific terms referenced at the point of purchase. Where there is a conflict, the more specific terms take precedence.

1.4 We may revise these Terms from time to time in accordance with Clause 24 (Changes to These Terms). It 
is your responsibility to review these Terms periodically.
2. Definitions


For the purposes of these Terms, the following words have the following meanings:

Account – a unique account created by you to access and manage the Services.
Company / we / us / our - London Virtual Address Ltd, and www.londonvirtualaddress.co.uk
Client / you / your – the individual, sole trader, company, or other entity that registers for or uses the
Services.
Mail – any letter, package (not parcel), or other item of correspondence addressed to you at our address.
Services – all services made available for purchase on the Website.
Website – www.londonvirtualaddress.co.uk.


3. Eligibility 


3.1 You must be at least 16 years old and have the legal capacity to enter into a binding contract to use our Services. 


3.2 You must provide accurate, current, and complete information when registering, and must keep this information up to date throughout your use of the Services. 


3.3 We reserve the right to refuse an application at our sole discretion, including where our verification checks are not satisfied. 

4. Our services

4.1 Each Account is provided for one registered company and permits use of our address in accordance with the Service purchased. One trading name may also be associated with the Account. A separate Account is required for each additional registered company.


4.2 Registered Office Address Service. This service provides a registered office address for use as your company’s official Registered Office Address with Companies House. Mail received from Companies House and HMRC is included and forwarded free of charge. 


4.3 Registered Office Address + Director’s Service Address. This service provides a Registered Office Address for the company and a Director’s Service Address for one director. Statutory correspondence addressed to the covered director, including mail from Companies House and HMRC, is included and forwarded in accordance with our mail handling procedures.


4.4 Business Address Service. This service provides a business address for trading and general business correspondence, including use on websites, invoices, letterheads and for banking purposes. This service does not include correspondence from Companies House or HMRC.


4.5 All-In-One Business Service Plus. This is a combined package providing a Registered Office Address, Director’s Service Address and Business Address under a single Account, subject to the terms and conditions applicable to each service.


4.6 Combining Services. You may purchase more than one Service above under a single Account, where not already included in a package.


4.7 Scan Service. Add-on: your incoming post is opened, scanned, and emailed to you, in place of or alongside physical forwarding, subject to Clause 7.


4.8 Virtual Office Certificate. Official proof of your registered use of our address, for banks, compliance, or verification, issued on request or as included in your package. 


4.9 Logo Design Service. This service provides a bespoke logo design created for your business, based on the requirements and information provided by you.



5. Term, Renewal, and Account Expiry

5.1 Your Service(s) run for twelve (12) months from your registration date and expire automatically unless renewed.

5.2 Any additional Service added during the year will expire on the same date as your original Service; fees for additional Services may be adjusted on a pro-rata basis.


5.3 Renewals must be made through your existing Account dashboard. Creating a new or duplicate Account to renew, re-register, or otherwise circumvent these Terms is strictly prohibited and may result in suspension or termination of all associated Accounts without refund.


5.4 If you do not wish to renew, you must remove all references to our address — including from Companies House, HMRC, your website, stationery, and any other public record — within three (3) Business Days of expiry. Continued use of our address after expiry without an active Service is a breach of these Terms and may result in the charges set out in Clause 11 (Prohibited and Unauthorised Use).


5.5 Termination by Us Without Cause. If we are unable to continue providing the Services for reasons other than your breach, we will give you thirty (30) days' written notice and refund the unused portion of your fees on a pro-rata basis. Where we must cease providing the Services immediately for reasons outside our reasonable control, we will refund the unused portion in full.


6. Fees, Payment, and Pricing


6.1 Introductory Pricing. Prices shown at the time of your first purchase are introductory rates offered exclusively to first-time customers and apply solely to that initial transaction.


6.2 Standard Pricing. All renewals, subsequent purchases, and additional services are charged at our then-current standard rates, as shown in your Account dashboard, which may differ from introductory pricing.


6.3 VAT. Unless stated otherwise, prices shown on the Website are exclusive of VAT. VAT will be added at the applicable rate at checkout. We are VAT-registered; our VAT number is 511405737.


6.4 Payment Methods. Payments are accepted via Visa, Mastercard, American Express, and PayPal. We do not store your card details or collect payment automatically. You must make payment manually for each purchase and renewal through your Account dashboard.


6.5 Late or Failed Payment. If a renewal payment is not received by the due date, your Service expires immediately with no grace period, in accordance with Clause 5 (Term, Renewal, and Account Expiry). Mail forwarding and scanning stop immediately on expiry, and any Mail received afterwards will be returned to sender in accordance with Clause 7.4, until your Service is renewed.


6.6 Price Changes. We may change our standard pricing at any time. Changes will not affect a Service already paid for but will apply to renewals or new purchases made after the change takes effect.

7. Mail Handling and Forwarding

7.1 We will handle incoming Mail addressed to you in accordance with the Service plan you have purchased, whether by physical forwarding, digital scanning, or both.

7.2 Unless your plan states otherwise, physical Mail forwarded within the United Kingdom is sent by Royal Mail 1st Class. International forwarding, where offered, may be subject to additional charges and longer delivery times.

7.3 Mail received for a company or individual without an active, corresponding Service will not be accepted and will be returned to sender. We may, at our sole discretion and without obligation to do so, attempt to notify you of such an item.

7.4 No Redirection Services. You must not set up a Royal Mail redirection, or any third-party mail redirection service, directing mail to or from our address. Doing so is a material breach of these Terms and may result in immediate suspension or termination under Clauses 15 and 16.

8. Storage of Uncovered or Unclaimed Items

8.1 Letters. Where we receive an item that is not covered by your current Service, and we have notified you of the opportunity to add the appropriate Service, we will hold the item for fourteen (14) calendar days from the date of notification. If no action is taken within that period, the item will be returned to sender.

8.2 Parcels. We do not offer parcel forwarding as a standard service. If a parcel is received on your behalf, we will contact you by email or telephone to inform you. If you would like the parcel forwarded, this is chargeable at £10 admin fee plus postage. Parcels will be held for seven (7) calendar days from the date of notification; if we do not receive a response within that period, we may dispose of the item, as we are unable to store it indefinitely.

8.3 Prohibited Items. We reserve the right to refuse, return, or (where required by law) report any item we reasonably believe to be illegal, hazardous, perishable, or otherwise unsuitable for storage, including but not limited to cash, weapons, and perishable goods.

9. Identity Verification (Anti-Money Laundering / Know Your Customer)

9.1 As a company service provider, we are legally required to verify the identity of our clients under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (as amended) and related UK AML/KYC requirements.


9.2 Required documentation depends on your entity type:

• Sole Traders: Each business owner must provide one form of photo ID and one form of proof of address.
• Limited Companies: every director and every Person with Significant Control (PSC) must provide one form of photo ID and one form of proof of address.
• Charities: Each trustee may be required to provide photo ID and proof of address.
• Other entity types: we will confirm the specific requirements applicable to your organisation by email.

9.3 Third-Party Verification. We use Credas, a third-party identity verification provider, to verify client identities, including through a live selfie check. Credas may also conduct checks using your name, address and date of birth, which may result in a soft search on your credit file without affecting your credit score. Information submitted through Credas will be processed in accordance with our Privacy Policy and Credas' applicable privacy policy and terms.

9.4 International Clients. Clients based outside the United Kingdom may be required to provide notarised identification and address documents. We may also verify your name, address and date of birth through our verification partner.

9.5 Ongoing Obligations. You must notify us promptly of any change to your identity, directors, PSCs, or registered company details, and provide updated verification documents on request. We may conduct periodic re-verification.

9.6 Right to Refuse. We reserve the right to refuse, delay, suspend, or terminate any Service where verification cannot be completed to our satisfaction, without liability to you.

10. Restricted Sectors

10.1 We do not provide Services to businesses operating in, or primarily connected with, the following sectors:
• Cryptocurrency and digital asset businesses
• Firearms and weapons
• Currency exchange (bureau de change)
• Gambling and betting
• Adult entertainment
• Religious organisations
• Payroll processing
• DVLA vehicle registration services


10.2 If we identify at any time that your business falls within a restricted sector, we may suspend or terminate your Service in accordance with Clauses 15 and 16.

10.3 This list may be updated from time to time; the current list will always be available on the Website.

11. Prohibited and Unauthorised Use

11.1 One Company Per Service. Your Service may only be used for the single registered company (and associated trading name) specified in your application, unless we have given prior written authorisation for additional companies.


11.2 Unauthorised Additional Use. If we identify that our address is being used for a second or further company without authorisation, this constitutes a breach of these Terms, and you will be liable to pay:
• a fixed penalty of £10; and
• an additional £0.50 per day for each day of unauthorised use, calculated retroactively from the first identified date of unauthorised use.

11.3 No Mail Redirection. As set out in Clause 7.4, you must not use our address as the target of a Royal Mail or third-party redirection service.

11.4 Misuse. You must not use our Services for any unlawful purpose, to facilitate fraud, or to misrepresent the nature of your business.

12. Client Obligations

• Comply with all applicable laws, including company law, tax law, and AML regulations.
• Keep your statutory filings (e.g. Companies House, HMRC) accurate and up to date, including promptly updating your registered office address on public record once your Service ends.
• Not represent our address as leased, owned, or occupied premises, or as anything beyond a registered office / business address and mail-handling service.
• Cooperate fully and promptly with any identity verification or compliance request.

13. No Tenancy or Property Rights


13.1 The Services do not grant you, and nothing in these Terms should be construed as granting, any tenancy, lease, licence to occupy, or other property right over our premises. You have no right to physically attend, occupy, or store items at our premises other than as expressly permitted under your Service plan (for example, mail collection, where offered).

14. Cancellation and Refunds

14.1 Cooling-Off Period. If you are a consumer, you have a statutory right to cancel most Services within fourteen (14) days of purchase under the Consumer Contracts (Information, Cancellation and Charges) Regulations 2013, provided our address has not yet been used or published (for example, registered with Companies House, used on invoices, or otherwise made public).

14.2 Logo Design Service. Because the Logo Design Service is bespoke work carried out on request, the cooling-off period in Clause 14.1 ends as soon as we begin design work with your agreement. Once design work has commenced, fees are non-refundable, save as required by law.

14.3 Non-Consumer Purchasers. Where you are not a consumer (for example, purchasing as, or on behalf of, a company), refunds are provided at our discretion in accordance with this Clause, save that we will not unreasonably withhold a refund where the address has genuinely not been used.

14.4 How to Request. Refund and cancellation requests should be made via the contact details in Clause 31 within the applicable period.

15. Suspension of Services

15.1 We may suspend your Account, without prior notice, where we reasonably believe you have breached these Terms, including (without limitation) where:


• our address is being used for an additional company without authorisation;
• our address is being used for a purpose not covered by your Service plan;
• a payment or verification check has failed.


15.2 Where we suspend your Account, we will notify you by email and give you ten (10) calendar days to remedy the breach — for example, by adding the correct service, registering the additional company, or ceasing the unauthorised use.


15.3 If you do not remedy the breach within that period, we may terminate your Account permanently without refund, in accordance with Clause 16 (Termination).

16. Termination

16.1 We may terminate your Account and these Terms immediately, without notice or liability, where:

• your company is found to be using our address for any unlawful activity;
• we receive repeated debt collection, enforcement, or similar adverse correspondence addressed to your company at our premises;
• we receive multiple credible complaints regarding your business conduct;
• your business is found to operate in a restricted sector under Clause 10;
• you materially breach these Terms and, where applicable, fail to remedy it within any notice period given.


16.2 On termination, your right to use our address ceases immediately, and Clause 5.4 (removal of our address from public record) applies.

17. Data Protection and Privacy

17.1 We process personal data — including identification documents collected for AML/KYC purposes — in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, as set out in our Privacy Policy, available at [https://londonvirtualaddress.co.uk/page/privacy-policy].


17.2 By using our Services, you acknowledge that certain personal data (including of directors and PSCs) will be shared with third parties strictly for verification, compliance, and service-delivery purposes, including our identity verification partner Credas, and, where required, regulatory or law enforcement bodies.

17.3 We retain personal data for as long as necessary to comply with our legal and regulatory obligations, as further detailed in our Privacy Policy.

18. Limitation of Liability

18.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

18.2 Subject to Clause 18.1, we do not accept liability for loss, theft, damage, delay, misdirection, or mishandling of Mail, except to the extent such loss or damage is caused by our negligence or wilful default.

18.3 Subject to Clause 18.1, our total liability to you arising out of or in connection with the Services, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you for the relevant Service in the twelve (12) months preceding the event giving rise to the claim.

18.4 We are not liable for any indirect or consequential loss, including loss of profits, business, goodwill, or reputation, arising from your use of the Services.

18.5 You agree to indemnify us against any claim, loss, or expense arising from your breach of these Terms, your unlawful use of the Services, or your provision of inaccurate information to us.

19. Confidentiality

19.1 Each party shall keep confidential any non-public information disclosed by the other in connection with the Services and shall not disclose it to third parties, except as required to perform the Services, to comply with the law, or as otherwise agreed in writing.

20. Intellectual Property


20.1 All content on the Website, including text, graphics, logos, and branding, is owned by us or our licensors and may not be copied, reproduced, or used without our prior written consent.

21. Force Majeure


21.1 We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events outside our reasonable control, including but not limited to acts of God, fire, flood, war, industrial action, or failure of postal or courier services.

22. Zero Tolerance Policy


22.1 We treat all clients with courtesy and expect the same in return. Abusive, threatening, or violent conduct towards our staff — whether in person, by phone, or in writing — will not be tolerated and may result in immediate suspension or termination of your Account without refund.

23. Complaints

23.1 If you are unhappy with any aspect of our Services, please contact us using the details in Clause 31 (Contact Us). We aim to acknowledge complaints within [insert number] Business Days and to resolve them as promptly as possible.

24. Changes to These Terms

24.1 We may amend these Terms from time to time to reflect changes in our Services, legal or regulatory requirements, or operational needs.

24.2 We will notify you of material changes by email in advance of them taking effect. Your continued use of the Services after the effective date of a change constitutes acceptance of the revised Terms. If you do not agree to a change, you may cancel your Service in accordance with Clause 14 (Cancellation and Refunds) before the change takes effect.

25. Assignment

25.1 We may assign, transfer, or subcontract our rights and obligations under these Terms, including in connection with a business transfer, sale, or restructuring. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

26. Severability

26.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force and effect.

27. Entire Agreement

27.1 These Terms, together with our Privacy Policy and any service-specific terms referenced at checkout, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements, representations, or understandings.

28. Third-Party Rights

28.1 A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

29. Notices

29.1 Any notice given under these Terms shall be in writing and sent by email — to you, at the email address associated with your Account; to us, at support@londonvirtualaddress.co.uk.

30. Governing Law and Jurisdiction

30.1 These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

30.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
